On March 1st 2013, the revised Collective Investment Schemes Act (CISA) and its accompanying implementation measures (the Collective Investment Schemes Ordinance, or CISO) took effect. The two important changes for foreign fund are:
the former concept of private placement no longer applies to foreign funds, now any offering or advertising of foreign funds in Switzerland is considered distribution 1
the concept of qualified investors has been redefined 2
Foreign funds distributed to qualified investors in and from Switzerland do not require registration with the Swiss Financial Market Supervisory Authority (FINMA) but have to appoint a Swiss representative, and a Swiss paying agent (namely, a Swiss bank) no later than February 28th 2015.
